Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Xidisk Software Solutions governing your access to and use of Sprint Bridge. By creating an account or using Sprint Bridge in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using Sprint Bridge on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Acceptance of Terms

These Terms of Service ("Terms"), together with our Privacy Policy and any other policies or guidelines incorporated by reference, govern your access to and use of Sprint Bridge, including any associated websites, applications, APIs, and services (collectively, the "Service"), provided by Xidisk Software Solutions ("Xidisk," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any modification to these Terms constitutes your acceptance of the revised Terms.

These Terms apply to all users of the Service, including users who are also contributors of content, information, and other materials or services. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

Age Requirement

You must be at least 16 years of age to use Sprint Bridge. If you are between 16 and 18, you represent that your legal guardian has reviewed and agreed to these Terms. By using the Service, you represent and warrant that you meet these age requirements.

Description of Service

Sprint Bridge is an enterprise agile project management platform that provides tools for sprint planning, backlog management, Kanban workflows, analytics, AI-assisted content generation, financial compliance reporting, security management, and team collaboration. The Service is offered on a software-as-a-service (SaaS) basis under the subscription tiers described on our pricing page.

Service Tiers

We offer the following service tiers, each with different features, limitations, and pricing:

  • Starter: A free tier permitting one project, up to ten users, and 1 GB of storage, subject to the feature limitations described in our pricing documentation. The Starter tier is provided free of charge with no time limit, subject to these Terms.
  • Professional: A paid subscription tier providing expanded project and user capacity, as detailed in our current pricing documentation.
  • Business: A paid subscription tier providing additional features including multi-tenant architecture, SSO and MFA, advanced analytics, and priority support, as detailed in our current pricing documentation.
  • Enterprise: A custom-priced tier providing unlimited capacity, dedicated account management, extended SLA commitments, on-premise deployment options, and other enterprise features agreed in a separate order form or enterprise agreement.

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service or any part of it at any time. We will provide reasonable advance notice of material changes that negatively affect your use of the Service. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, provided that we have acted in good faith and in accordance with these Terms.

Accounts & Access

Account Registration

To access most features of the Service, you must register for an account. When registering, you must provide accurate, current, and complete information. You are responsible for maintaining the accuracy of this information and for updating it promptly if it changes. Accounts may be created directly through our website or provisioned by your organization's administrator.

Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication methods. You agree to notify us immediately at security@xidisk.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

We implement industry-standard security measures including bcrypt password hashing, JWT token management, session monitoring, and risk-based authentication. However, no security system is impenetrable, and we do not guarantee the security of your account credentials against all threats.

Organizational Accounts

If your account is created or managed by an organization, the organization's administrator controls access rights, permissions, and data within that workspace. Xidisk is not responsible for the actions of organizational administrators with respect to your account or data within an organizational workspace. Your use of the Service within an organizational workspace may be subject to additional policies set by the organization.

One Account Per User

Each individual user may maintain only one primary account. Organizational administrators may provision multiple user accounts within their workspace, subject to the user limits of their subscription tier. Creating multiple accounts to circumvent feature limitations or suspension is prohibited.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that could damage, disable, overburden, or impair the Service, or interfere with any other party's use and enjoyment of the Service.

Prohibited Activities

The following activities are strictly prohibited:

  • Using the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
  • Transmitting, uploading, or distributing any content that is defamatory, obscene, abusive, fraudulent, or otherwise objectionable or harmful.
  • Attempting to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Interfering with or disrupting the integrity or performance of the Service or the data contained therein, including through denial-of-service attacks, spam, or deliberate overloading of the platform.
  • Introducing any viruses, Trojan horses, worms, or other malicious or technologically harmful material into the Service.
  • Using any automated means — including bots, scrapers, or scripts — to access, monitor, or copy content from the Service without our prior written consent.
  • Reverse engineering, decompiling, disassembling, or attempting to discover the source code of the Service, except to the extent expressly permitted by applicable law.
  • Reselling, sublicensing, or otherwise commercializing access to the Service without our prior written authorization.
  • Using the Service to develop competing products or services, or to benchmark the Service in a manner intended to be published without our prior written consent.
  • Uploading content that infringes any third party's intellectual property rights, including copyrights, trademarks, or patents.

AI Feature Acceptable Use

Sprint Bridge's AI-powered features — including story enhancement, test generation, and acceptance criteria drafting — are designed to assist professional software development teams. You agree not to use these features to generate content that is misleading, harmful, discriminatory, or in violation of applicable law. You are responsible for reviewing and validating all AI-generated content before using it in your work.

Enforcement

Violation of these acceptable use provisions may result in immediate suspension or termination of your account without refund, at our sole discretion. We reserve the right to investigate any suspected violations and to cooperate with law enforcement authorities in connection with any investigation of suspected unlawful activity.

Your Data

Ownership

You retain all ownership rights to the data, content, and information you upload, submit, or create within Sprint Bridge ("Your Data"). We do not claim any ownership rights over Your Data. By using the Service, you grant Xidisk a limited, non-exclusive, royalty-free license to access, process, store, and display Your Data solely as necessary to provide and improve the Service in accordance with these Terms and our Privacy Policy.

Data Responsibility

You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. You represent and warrant that you have all necessary rights to upload Your Data to the Service and that doing so does not violate any third party's rights or any applicable law. We are not responsible for any errors or omissions in Your Data, or for any loss or damage incurred as a result of the use of Your Data.

Data Portability & Export

You may export Your Data from Sprint Bridge at any time in supported formats (JSON, Excel, CSV) through the account settings dashboard. On termination of your subscription, we will provide a 90-day window during which you may export Your Data before it is permanently deleted from our systems. We are not responsible for any failure to export Your Data within this window.

Aggregated Data

We may use anonymized, aggregated, non-personally identifiable data derived from your use of the Service to improve the Service, develop new features, and conduct internal analytics. Such aggregated data will not identify you or your organization individually and will not contain Your Data in a form that could reasonably be attributed to you.

Data Processing

To the extent that your use of the Service involves the processing of personal data subject to applicable data protection laws including the GDPR, our processing of such data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement (DPA) that may be requested from privacy@xidisk.com.

Payment & Billing

Subscription Fees

Paid subscription tiers are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated in US dollars unless otherwise specified. Prices are subject to change upon reasonable notice, which we will provide via email or a notice within the Service at least 30 days before the change takes effect for existing subscribers.

Payment Processing

All payments are processed by our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method. You represent that you are authorized to use the payment method provided. We do not store raw payment card details; this information is handled exclusively by our PCI DSS-compliant payment processor.

Taxes

Our fees are exclusive of all applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your purchases, except for taxes based on our income. Where we are legally required to collect taxes, they will be added to your invoice.

Refunds

All subscription fees are non-refundable except where required by applicable law or as expressly stated in these Terms. If you cancel your subscription, you will continue to have access to the paid features until the end of your current billing period, at which point your account will revert to the Starter tier (if applicable) or be deactivated. We do not provide prorated refunds for partial billing periods.

Late Payment

If payment is not received when due, we reserve the right to suspend access to paid features until outstanding amounts are settled. We will provide reasonable notice before suspending access. Accounts with outstanding balances for more than 60 days may be subject to termination, with data export available for 30 days following termination.

Intellectual Property

Our Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, displays, images, video, audio, and the design, selection, and arrangement thereof — are owned by Xidisk Software Solutions, its licensors, or other providers of such material, and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service or any of its content, features, or functionality beyond the limited license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Limited License

Subject to your compliance with these Terms and payment of applicable fees, Xidisk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercialize the Service or any portion thereof.

Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Service without any obligation to you. We are not required to implement any Feedback and may use it in any manner we deem appropriate.

Confidentiality

Each party may have access to the other party's confidential information in connection with the Service. "Confidential Information" means any information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to: (a) use the other party's Confidential Information only for the purposes of exercising its rights and fulfilling its obligations under these Terms; (b) protect the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (c) not disclose the other party's Confidential Information to any third party without the other party's prior written consent, except as necessary to provide or receive the Service.

These confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was rightfully known to the receiving party before receipt from the disclosing party; (c) is rightfully obtained from a third party without restriction; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt notice where legally permissible.

Your Data is Confidential

We treat Your Data as your Confidential Information. We will not access, use, or disclose Your Data except as necessary to provide the Service, prevent harm, comply with legal obligations, or as otherwise explicitly authorized by you. Our employees and contractors who access Your Data are bound by appropriate confidentiality obligations.

Warranties & Disclaimers

Our Warranty

We warrant that: (a) we have the authority to enter into these Terms and to grant the rights set forth herein; (b) the Service will perform materially in accordance with our documentation under normal use and circumstances; and (c) we will use commercially reasonable efforts to maintain the security and integrity of the Service and Your Data.

For paid subscription tiers, we commit to the service availability and support response times described in our current service level documentation, which is incorporated into these Terms by reference.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XIDISK EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from using the Service will be accurate or reliable. We make no warranty regarding any third-party services, integrations, or AI providers accessible through the Service.

AI-Generated Content Disclaimer

Content generated by AI features within Sprint Bridge (including story enhancement, test case generation, and acceptance criteria drafting) is provided as a starting point for human review, not as professional advice or a final deliverable. We make no warranty regarding the accuracy, completeness, or suitability of AI-generated content for any particular purpose. You are solely responsible for reviewing, validating, and taking responsibility for any AI-generated content used in your work.

Limitation of Liability

Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XIDISK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO XIDISK IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

Essential Basis of the Bargain

The limitations of liability in this section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between Xidisk and you. Xidisk would not be able to provide the Service at the prices offered without these limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Xidisk and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service in violation of these Terms; (b) Your Data; (c) your violation of any applicable law or third party right; or (d) your negligence or wilful misconduct.

Termination

Termination by You

You may cancel your subscription at any time through your account settings or by contacting us at support@xidisk.com. Cancellation will take effect at the end of your current billing period. Upon cancellation of a paid subscription, your account will revert to the Starter tier (subject to Starter tier limitations) or be deactivated if you choose to close your account entirely. All Your Data will remain accessible for 90 days following the end of the paid subscription period, after which it will be permanently deleted unless you export it.

Termination by Xidisk

We may suspend or terminate your access to the Service, with or without notice, for any of the following reasons:

  • You have breached any provision of these Terms and, where the breach is capable of remedy, have failed to remedy it within 14 days of receiving written notice.
  • You have failed to pay applicable subscription fees and have not resolved the outstanding balance within 30 days of notice.
  • We are required to do so by law, regulation, or court order.
  • We determine, in our sole discretion, that continuing to provide the Service to you would expose us or third parties to legal liability or harm.
  • We cease to operate the Service in your region or discontinue the Service entirely, with reasonable advance notice where possible.

In the event of termination by Xidisk for reasons other than your breach, we will provide a prorated refund of prepaid fees for the unused portion of your subscription period.

Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including without limitation sections on intellectual property, confidentiality, disclaimers, limitations of liability, and general provisions. We will retain Your Data for a period of 90 days following termination, during which you may request an export. After this period, Your Data will be permanently deleted from our systems.

General Provisions

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and, where applicable, the laws of the state in which Xidisk Software Solutions is incorporated, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

If you are located in the European Economic Area, any disputes relating to these Terms will be subject to the jurisdiction of the courts of the member state in which you are habitually resident, in accordance with applicable EU consumer protection law.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms, enterprise agreements, or supplemental terms for specific features, constitute the entire agreement between you and Xidisk with respect to the Service and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter herein.

Amendments

We reserve the right to amend these Terms at any time. We will notify you of material amendments by email to the address associated with your account and by posting a notice within the Service at least 30 days before the amendment takes effect. Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you must stop using the Service before the effective date.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms will not be deemed a waiver of our right to enforce that provision in the future. No waiver by Xidisk of any breach of these Terms will be effective unless it is in writing and signed by an authorized representative of Xidisk.

Assignment

You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. Xidisk may freely assign or transfer these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction. Any purported assignment in violation of this section is void.

Force Majeure

Neither party will be liable to the other for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including without limitation acts of God, natural disasters, pandemic, war, terrorism, riots, governmental actions, labour disputes, or internet infrastructure failures. The affected party will notify the other party promptly and use commercially reasonable efforts to resume performance as soon as practicable.

No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and their respective permitted successors and assigns. Nothing in these Terms, express or implied, is intended to or shall confer upon any third party any legal or equitable right, benefit, or remedy of any nature under or by reason of these Terms.
